Pescarolo ed Uniti (CR), July 7th, 2025 – Lindbergh S.p.A. (EGM: LDB), a Group providing services in the MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation & Air Conditioning), and Circular Economy sectors, announces that it has signed, through its subsidiary SMIT S.r.l., a preliminary agreement for the acquisition of 100% of the share capital of Termotecnica Monzese S.r.L., a company with over 50 years of history, operating in the Province of Monza.
Termotecnica Monzese brings with it many years of experience in the management, maintenance, and servicing – both routine and extraordinary – of heating and air conditioning systems in both residential and industrial settings. The company also specializes in the general maintenance of facilities and systems intended for collective or production use, including water treatment systems and alternative energy solutions.
This transaction marks another important step in Lindbergh’s external growth strategy in the HVAC sector, further strengthening its presence in technical assistance and installation services. The acquisition has also a strategic relevance due to its strong territorial synergy: the northern Lombardy area is already served by Vergottini and EPS, both companies belonging to the Lindbergh Group.
In the last three years (from 2022 to 2024), Termotecnica Monzese recorded average annual revenues of €1.909 million and an average EBITDA of €214,000. As of December 31, 2024, the company reported a net financial position (cash) of € 531,000.
Lindbergh will preserve the contractual rights of the acquired companies’ staff, who will continue to support growth and contribute to group synergies. Shareholders and directors will remain with the company for a minimum period of three years, ensuring a smooth transition and supporting the implementation of the industrial plan.
